These Terms of Use govern the purchase and use of Trama, offered by Hallen Consultoria Tecnológica Ltda., a limited liability company registered under CNPJ no. 45.106.125/0001-39, with its head office at Rua Juscelino Kubitscheck de Oliveira, 890, Jardim Boa Vista, Barra Mansa (RJ), CEP 27350-130 ("Hallen Tech" or "we").
How these Terms are accepted. To buy Trama, resubscribe or add Cores, you tick the box "I have read and accept the Terms of Use and the Privacy Policy". We record the version accepted and the time of acceptance. Anyone who joins Trama by invitation from an Organisation accepts these Terms when creating the account. If you do not agree, do not use Trama.
Summary of what you are contracting for (the full text follows):
- Price: R$ 99.90 per Core, per month, taxes included.
- Renewal: automatic, every month, until you cancel.
- Cancellation: at any time, from the panel; it takes effect at the end of the period already paid.
- Refund: in full, within 7 days (section 6).
- The Core runs on your machine, and the AI is contracted and paid for by you with your AI Provider.
- Every AI result must be reviewed by you before it is used.
The clauses that limit rights are highlighted.
1. Definitions
- Trama: the Core, the Platform and the desktop application together, which take cards from a task board, run AI agents on them in the Customer's repository and open the Delivery for human review.
- Core: the
tramadprogram, which the Customer installs and runs on their own machine (a server, a VPS or a computer) and which keeps the work on that machine. - Platform: the web panel and the API at
app.trama.sh, hosted by Hallen Tech, where the Customer manages the account, the Organisation, the Members and billing, and follows their Cores. - Desktop application: the graphical program that talks to the Platform and to the Cores.
- Customer or you: the individual or legal entity that contracts for Trama. When the contract is made on behalf of a company, the Customer is the company.
- Consumer: the Customer who is an individual, and the Customer that is a legal entity when the law considers it a consumer.
- Organisation: the Customer's account on the Platform. It is the Organisation that pays the subscription and that brings the Members and the Cores together.
- Member: a person who joins the Platform by invitation from an Organisation, with the role of owner, administrator or member.
- AI Provider: the company that supplies the AI model used by the agents, chosen and contracted by the Customer (for example, Anthropic, with Claude Code, directly or through a cloud provider).
- Tracker: the Customer's task board (for example, Jira Cloud, GitHub Issues, GitLab Issues or Linear).
- Repository: the service where the Customer's code is kept (for example, GitLab or GitHub).
- Turn: one run of an AI agent on a card or a conversation.
- Delivery: the result of a Turn taken to the Repository as a branch and a merge request (or pull request), for the Customer's review.
- Decider: a person who registered, on the Core's machine, a key used to sign the decisions that change what the Core may do.
- Core Licence: the file signed by the Platform that authorises the Core to start Turns, with limited validity and renewed while the subscription is up to date (section 8).
2. Who may contract
2.1. Trama is offered to persons over 18 years of age with full legal capacity and to legal entities. It is not intended for minors.
2.2. Whoever contracts or accepts these Terms on behalf of a company declares that they have the authority to bind it.
2.3. Consumers. Trama is a professional tool. If you are a Consumer, the rights that the Consumer Protection Code (CDC, Law no. 8.078/1990) guarantees you prevail over any clause of these Terms, and the clauses that apply only to legal entities say so expressly.
3. How Trama works, and what that means for you
This section is part of the Terms, and does not merely describe them: the responsibilities in the following sections derive from it.
3.1. The Core runs on your machine, not on ours. You are the one who installs, maintains, updates, protects and backs up the machine where the Core runs. The Core keeps on that machine the text of the cards, the prompts, the transcripts of the Turns, the conversations with the agents, the attachments, the working copies of the repositories and the Tracker and Repository credentials. Hallen Tech has no access to that machine and keeps no copy of that content.
3.2. The AI is yours, on your account. The Core runs the AI agent on your machine, authenticated with your own account with the AI Provider (a subscription of yours, an API key of yours or a cloud provider of yours). Hallen Tech does not resell access to AI models, and the price of Trama does not include the cost of the AI Provider. Your use of the model is subject to the AI Provider's terms, limits and policies, which you accept directly with it.
3.3. The Tracker and the Repository are yours too. The Core talks to them using the credentials you register. The credentials typed in the browser are encrypted to your Core's key and cross the Platform without the Platform being able to read them: only the Core can open them. The terms of those services continue to apply between you and them.
3.4. The Platform is ours. It keeps the account, the Organisation, the Members, the invitations, the roles, the sessions, billing, the record of each Core (identification, version, when it was seen and the state of the machine) and the totals and identifiers that the Core reports, such as usage per day and per project. What you open in the panel about a Core's work crosses the Platform on its way to your screen and is not stored. The details are in the Privacy Policy.
3.5. Trama does not merge code on its own. The Delivery opens a merge request (or pull request) in your Repository. The Customer's people are the ones who review and merge.
3.6. Decisions are signed on your machine. The operations that change what the Core may do require the signature of a Decider registered on the Core's machine. Hallen Tech cannot register, recover or replace a Decider, and cannot approve anything on your behalf. If you lose all of the Deciders' devices, recovery depends on whoever has administrator access to the Core's machine.
4. Purchase
4.1. Purchase. Trama is purchased on the website trama.sh, by choosing the number of Cores (from 1 to 20) and paying through Stripe's checkout, by credit card or boleto. There is no free trial period.
4.2. Founding invitation. Once payment is confirmed (by card, on approval; by boleto, when the bank clears it, which may take a few business days), we send to the email given at purchase an invitation to create the Organisation. The invitation is single-use, valid only for that address and valid for 30 days. If the invitation expires, or if you need to change the address, we issue it again at your request.
4.3. Start of the first period. The first monthly period starts when the Organisation is created from the invitation. In a resubscription made from the panel (section 5.6), it starts on confirmation of payment.
4.4. Confirmation and copy of these Terms. The invitation letter confirms the purchase and contains the addresses of these Terms and of the Privacy Policy in the version you accepted. Earlier versions remain available on the website.
4.5. You are responsible for giving a correct email and for keeping secure the access to it, your password, your second factor and your sessions.
5. Price, quantity and billing
5.1. Price. R$ 99.90 (ninety-nine reais and ninety centavos) per Core, per month, with all features. The price is final: the taxes levied on the service are included.
5.2. Quantity. Each period is charged for the number of Cores purchased by the Organisation, which is also the maximum number of Cores it may pair. Pairing or revoking a Core does not change the amount charged.
5.3. More Cores. The owner of the Organisation may add Cores from the panel (Settings → Plan and payment), up to 20 in total. The addition is charged immediately, in proportion to the days remaining until the end of the period, to the saved card or by boleto to the registered payer. The Cores are released when payment is confirmed. From the following period onwards, each charge includes all the Cores. If the proportional amount is less than R$ 1.00, nothing is charged immediately and the Cores are included in the count for the following period.
5.4. Fewer Cores. The owner may reduce the number of Cores from the following period onwards, never below the number of paired Cores (revoke the surplus ones first). The reduction does not give rise to a refund for the current period.
5.5. Automatic renewal. The subscription is monthly and renews automatically each month, counted from the day on which it started, until it is cancelled (section 7):
- by card, the charge is made to the saved card, without any action on your part. If the bank declines or asks for confirmation, we notify you by email, and you pay from the panel;
- by boleto, we issue the boleto for each period and send the owner of the Organisation an email with the amount, the due date and the code to pay.
5.6. Resubscription. An Organisation whose subscription has ended may subscribe again from the panel (Settings → Plan and payment, "Subscribe again"), keeping its projects, Members and history.
5.7. Tax invoice. The billing records shown in the panel ("Statements") are not a tax document. For each payment received, Hallen Tech issues the electronic service invoice (nota fiscal de serviço eletrônica) and sends it by email to the owner of the Organisation. For the invoice to be issued in your company's name, provide the CNPJ, the corporate name and the address when we ask, or through the contact in section 21.
5.8. Price changes. The price may be changed with 30 days' notice, by email to the owner of the Organisation and in the panel. The new price applies from the first period that starts after the notice, and you may cancel before then at no cost. The price is not changed more than once every 12 (twelve) months.
5.9. New taxes. If a tax on the service is created, or if the rate of an existing tax changes, the price may be adjusted to the same extent, with the notice and the right to cancel in clause 5.8, even if less than 12 months have passed since the last change.
5.10. Currency and foreign cards. Billing is in reais. A foreign card pays in reais; the conversion and the fees are the card issuer's.
5.11. Payment data. Card details are typed into Stripe's environment and do not reach Hallen Tech. We keep only the identifiers that Stripe uses to charge the saved card. To issue a boleto, Stripe requires the payer's CPF or CNPJ, name, email and address. These data are requested only when boleto is chosen and are kept, encrypted, in the Organisation's billing profile for subsequent boletos, where the owner or an administrator can edit or delete them.
6. Right of withdrawal and 7-day refund
6.1. Full refund within 7 days. You may withdraw from the purchase within 7 (seven) days, without having to give a reason, and receive the whole amount paid. The period runs from the sending of the founding invitation, which is when the service becomes available; for a resubscription and for the purchase of additional Cores, from the confirmation of payment.
6.2. How to request it. The owner of the Organisation requests it from the panel (Settings → Plan and payment, "Ask for a refund") or through the contact in section 21. We confirm receipt of the request immediately, when it is made from the panel, or by email, when it is made through the contact.
6.3. Who it applies to.
- For every Customer, the refund applies to the Organisation's first purchase.
- If you are a Consumer, the right of withdrawal also applies to each new contract made over the internet: a resubscription or a purchase of additional Cores. In those cases, if the button in the panel does not appear, make the request through the contact in section 21 within the 7 days. For a purchase of additional Cores, the amount paid for them is returned, and they stop counting.
6.4. How the money is returned.
- Card: we refund through Stripe, to the same card, and Stripe notifies the card company. The time it takes for the refund to appear on the statement depends on the issuer.
- Boleto: as Stripe does not refund boletos, the amount is returned by Hallen Tech by transfer (Pix or bank account) to the account you give in the request, within 5 business days after the bank details are received.
6.5. Once the refund is made, the subscription ends immediately, and the Cores' Licence is no longer renewed (section 8). The data remain as described in section 15.
6.6. After 7 days there is no pro-rata refund: cancellation takes effect at the end of the period already paid (section 7). Outside the 7-day period, there is a refund only in the event of a serious failure of the service or of an undue charge, in addition to the cases in clauses 7.6, 13.3 and 14.5. In the case of an undue charge, the return follows the Consumer Protection Code (CDC) when you are a Consumer.
7. Cancellation
7.1. You may cancel the subscription at any time, from the panel (Settings → Plan and payment). The owner and the administrators of the Organisation may cancel.
7.2. Cancellation takes effect at the end of the period already paid. Until then, Trama remains available, and nothing further is charged after that day.
7.3. Until the last day of the period, the cancellation may be undone from the panel.
7.4. A first period never paid. If you cancel before the due date of the first period, and nothing has been paid for it, that period is waived and is not owed. In that case, the subscription ends immediately.
7.5. Periods that fell due and were not paid, during which the service was available, remain owed, even after cancellation, and may be paid from the panel.
7.6. Boleto paid after cancellation. A boleto already displayed cannot be withdrawn from Stripe before it falls due. If it is paid for a period that was waived, or after the subscription ended and nothing further was owed, we return the amount in full, by transfer, to the account you give, within the period in clause 6.4.
7.7. Cancelling the subscription does not delete the Platform's data and does not touch the Core's data. What happens to each is in section 15 and in the Privacy Policy.
8. Late payment and the Core Licence
8.1. Late payment. If a period is not paid by its due date, the subscription becomes past due. Paying from the panel brings the subscription up to date immediately.
8.2. The Core Licence. Each Core only starts Turns with a valid Licence, issued by the Platform with limited validity and renewed while the subscription is up to date. Criterion, which applies automatically:
- for up to 14 (fourteen) days after the due date of the oldest unpaid period, the Licence continues to be renewed;
- once those 14 days have passed, the Licence is no longer renewed. We notify the owners of the Organisation by email, once, and the panel shows the date;
- the Licence in force remains valid until the end of its term. Once the Licence has expired, the Core warns on every screen and, 14 (fourteen) days later, refuses to start new Turns. The same rule applies to a Core without a Licence;
- paying renews the Licence immediately;
- the Core deletes nothing because of this: the data on your machine remain yours.
8.3. Due date. The boleto for each period falls due on the date shown on it and in the panel. By card, the charge is made at the start of each period; if the bank declines it, the period is outstanding from that day, and you pay from the panel.
8.4. Termination for late payment. If the oldest overdue period reaches 30 (thirty) days without payment, the subscription is terminated automatically. We notify the owner of the Organisation by email before that. No period that starts after the Licence has stopped being renewed is charged. Only the periods during which the service was available remain owed, and they may be paid from the panel. After termination, the Organisation may subscribe again (clause 5.6).
8.5. Charges. Hallen Tech charges no fine and no interest on overdue periods.
8.6. You may request a review of any of these automatic decisions through the contact in section 21.
9. Software licence
9.1. While the subscription is in force, Hallen Tech grants the Organisation a licence that is non-exclusive, non-transferable and revocable under these Terms to install and use the Core and the desktop application on the number of Cores purchased and to access the Platform, within the limits of these Terms.
9.2. You may not: (a) circumvent, disable or forge the Core Licence or the Core's limits; (b) resell, sublicense or offer Trama as a service to third parties (using Trama in the work you do for your own clients is permitted, and is the expected use); (c) access the Platform by means that it does not offer, test its security without written authorisation or overload it; (d) use the Platform to access another Organisation's data.
10. Your responsibilities
10.1. The Core's machine. You are responsible for the security, availability and backup of the machine where the Core runs. The AI agent runs as the same system user as the Core. The Core restricts what the agent's tools can read, but this is not operating-system isolation. We recommend running the Core under a user or on a machine dedicated to it.
10.2. Credentials and third-party accounts. You are responsible for the AI Provider, Tracker and Repository credentials you use in the Core, for complying with those services' terms and for the costs they charge.
10.3. Personal data in your work. The content you bring to Trama (cards, code, documents, attachments, conversations) is yours, or you have the right to use it. If that content contains personal data (for example, people's names on the cards of one of your clients' boards), you are the controller of that data, within the meaning of the General Data Protection Law (LGPD). It is up to you to have a legal basis for processing them and to inform the data subjects. If we receive a request from a data subject about that data, we forward it to you within 5 business days, and you undertake to answer the data subject within the legal time limit and to inform us that you have answered.
10.4. Third-party systems. The Core comments on and moves cards in the Tracker and opens merge requests in the Repository, which often belong to one of your clients. You declare that you have the authorisation of the owner of those systems for automated agents to read from and write to them, and you are answerable to those persons for what Trama does there on your instructions.
10.5. Review of the result. All code, comments or changes produced by the agents must be reviewed by you before being merged, published or run in production. The decision to merge (merge) is yours, and you are responsible for the code you merge and for the consequences of its use.
10.6. Deciders and Members. You choose who is a Decider, who is a Member and with what role, and you are answerable for what those people do in your Organisation.
11. Acceptable use
You may not use Trama to:
- (a) commit an unlawful act, or to violate the rights of third parties, including intellectual property and privacy rights;
- (b) create, test against third parties or distribute malicious software;
- (c) process personal data without a legal basis, or process sensitive data and data of children and adolescents in breach of the LGPD;
- (d) violate the terms and policies of the AI Provider, the Tracker or the Repository;
- (e) do what clause 9.2 prohibits.
Non-compliance may lead to the suspension or termination provided for in section 14.
12. AI-generated content and the AI Provider
12.1. AI can be wrong. The agents use AI models that produce likely, not guaranteed, results. The code, texts and proposals generated may contain errors, security flaws, unexpected behaviour or passages similar to third-party material. Hallen Tech does not guarantee that generated content is correct, secure, fit for a particular purpose, original or free of third-party rights. Trama's protection mechanisms (the examination of the cards' text for attempts to manipulate the agent, the signing of decisions and the requirement that the build pass before the card moves on) reduce risks, but do not eliminate them.
12.2. Your plan with the AI Provider. Some AI Provider plans, especially personal ones, may limit automated or commercial use. It is up to you to check whether your plan permits the use that Trama makes. For use by companies, we recommend an API key or a commercial plan from the AI Provider.
12.3. Use of your data by the AI Provider. The content the Core sends to the AI Provider is processed according to the contract and the settings of your account with it, including as regards keeping that content or using it to train models. Check those settings with the AI Provider.
12.4. Who owns the result. The content you bring remains yours. The code and content generated by the agents on your Core belong to you, subject to the AI Provider's terms. Hallen Tech claims no right over them and, to the extent that it has any, assigns that right to you, free of charge, without limit of time or territory. As the law does not yet define whether a work generated by AI is protected by copyright, this clause does not guarantee that such protection exists.
13. Availability, support and changes
13.1. No service level agreement. The Platform is offered without a service level agreement (SLA) and without a guarantee of continuous availability. We make reasonable efforts to keep it available and announce scheduled maintenance whenever possible. This does not exclude the Consumer's rights in the event of a failure of the service.
13.2. If the Platform goes down, the Core carries on. Turns in progress finish, and the schedules keep triggering the board cycle. What depends on the Platform (the panel, the application, new decisions and Licence renewal) waits for it to return. The Licence's 14-day tolerance also exists for this.
13.3. Product changes. Trama is evolving: we may improve, change, add or remove features. The removal of a feature that materially reduces what you purchased will be announced 30 days in advance. In that case, you may cancel and receive back the amount proportional to the period paid and not used.
13.4. Versions. We may stop supporting old versions of the Core and the application, with notice, when a new version is needed for security or compatibility.
14. Suspension and termination by Hallen Tech
14.1. For late payment: in accordance with section 8.
14.2. For breach of these Terms: we notify the owner of the Organisation by email, stating the reason, and give 10 (ten) days to remedy it. If it is not remedied, we may suspend or terminate the Organisation.
14.3. Immediate suspension: where there is a risk to the security of the Platform, of other customers or of third parties, evident unlawful use, or an order from a competent authority. In those cases, we communicate the reason as soon as possible, and you may contest it through the contact in section 21.
14.4. Once the Organisation is terminated for breach, there is no refund for the current period, except for what the law guarantees to the Consumer.
14.5. Termination through no fault of yours. Hallen Tech may terminate the contract for a reason that is not your fault (for example, if it stops offering Trama), with 30 (thirty) days' notice by email to the owner of the Organisation. In that case, we return the amount proportional to the period paid and not used.
15. End of the relationship and your data
15.1. The Core and the data on your machine stay with you. Without a renewed Licence, the Core stops starting Turns (section 8), but deletes nothing.
15.2. The Platform's data follow the time limits in the Privacy Policy. An Organisation without a subscription continues to exist, and may resubscribe, until it is closed.
15.3. Export. Each person may export, at any time, their personal data in Settings → Profile. The owner of the Organisation may request, through the contact in section 21, a file with the Organisation's data kept on the Platform, which we send within 30 days.
15.4. Closure of the Organisation. The owner may request, through the contact in section 21, the closure of the Organisation and the deletion of its data on the Platform. The request is fulfilled within 30 (thirty) days, except for what the law requires to be kept (for example, tax records and access records), as described in the Privacy Policy.
16. Intellectual property
Trama, the brand, the software, the Platform and the documentation belong to Hallen Tech or to whoever licensed them to it. These Terms transfer none of those rights beyond the licence in section 9. Suggestions you send us may be used to improve Trama, with no obligation to pay.
17. Confidentiality
Hallen Tech treats as confidential the Organisation's information that it receives through the Platform and uses it only to provide the service, comply with the law and exercise rights. This duty continues for 5 years after the end of the relationship and does not apply to what is public, to what was already known without a duty of confidentiality or to what the law or an authority orders to be disclosed.
18. Liability
18.1. Hallen Tech is not liable for damage caused exclusively by the Customer or by third parties, including:
- (a) AI-generated code or content that the Customer merged, published or ran;
- (b) the failures, unavailability, costs, changes or data processing of the AI Provider, the Tracker, the Repository or other services chosen by the Customer;
- (c) the loss of data kept on the Core's machine due to the Customer's lack of backup;
- (d) incidents caused by a lack of security of the Core's machine or of the Customer's credentials.
18.2. Indirect damage. If the Customer is a legal entity, Hallen Tech is not liable for loss of profits, loss of revenue, loss of opportunity or other indirect damage.
18.3. Cap. If the Customer is a legal entity, Hallen Tech's total liability to it, for any cause connected with these Terms, is limited to the amount that the Customer paid to Hallen Tech in the 12 (twelve) months preceding the event that gave rise to the claim.
18.4. What is not limited. Clauses 18.2 and 18.3 do not apply to damage caused by wilful misconduct or gross negligence, nor to what the law does not permit to be limited. Nothing in these Terms excludes or reduces the rights of a Consumer who is an individual, and for a Consumer that is a legal entity the limitation is applied only in the cases the law permits.
18.5. Force majeure. Neither party is liable for a failure caused by a fortuitous event or force majeure, under article 393 of the Civil Code (Código Civil).
19. Personal data
19.1. The processing of personal data is described in the Privacy Policy, which is part of these Terms.
19.2. Customers that are legal entities. The Personal Data Processing Addendum, published together with these Terms, is part of them and governs the processing that Hallen Tech carries out as processor on the Customer's behalf. The Customer may request a signed copy through the contact in section 21.
20. Changes to these Terms
20.1. We may change these Terms. Material changes are announced by email to the owner of the Organisation and in the panel at least 30 days in advance, and take effect in the first period that starts after the notice.
20.2. If you do not agree, you may cancel before the change takes effect, at no cost. A change that reduces your rights is valid only with your express acceptance, which we request by email or in the panel. Without that acceptance, the previous version applies until the end of the current period, and the subscription ends on that date.
20.3. Changes required by law or by an order of an authority, and those necessary to fix a security problem, may take effect sooner, with notice.
20.4. Changes that do not affect your rights (wording corrections, new features) take effect from publication.
21. Communications and customer service
21.1. Communications about the account and billing are made by each person's email and through the panel. Billing is sent to the owner of the Organisation.
21.2. Customer service: contato@trama.sh. We answer questions, complaints and requests for cancellation or refund within 5 (five) days.
21.3. Privacy and personal data matters: the channel of the data protection officer (encarregado) indicated in the Privacy Policy.
22. General provisions
22.1. These Terms are governed by the laws of the Federative Republic of Brazil.
22.2. Jurisdiction. If you are a Consumer, you may bring proceedings in the courts of your domicile. If you are a legal entity and not a Consumer, the courts of the judicial district (Comarca) of Barra Mansa (RJ), where Hallen Tech has its head office, are chosen.
22.3. If a clause is held invalid, the others remain in force.
22.4. Tolerating a breach is not a waiver of the right to require compliance.
22.5. You may not assign this contract without our agreement. We may assign it in the event of a corporate reorganisation or a transfer of Trama, with notice, and with the guarantee that your rights remain the same.
22.6. These Terms may be published in other languages. The Portuguese version prevails.
22.7. The parties acknowledge the validity of the electronic acceptance of these Terms.
